About Asset Reconstruction Company (India)

ARCIL was incorporated in 2002 and received its Reserve Bank of India ARC licence in 2003. The company is headquartered in Mumbai and has established itself as one of India's major asset reconstruction businesses.

Its primary activity is acquiring stressed assets from banks and financial institutions and managing their resolution and recovery.

The company operates across three broad areas:

  • Corporate stressed assets
  • SME and other stressed assets
  • Retail stressed assets

ARCIL has developed a nationwide recovery infrastructure with more than 13 offices, over 160 collection agents and around 950 lawyers.

ARCIL's Business Model

ARCIL works between financial institutions that want to reduce stressed assets and the recovery process for those assets.

Banks and other lenders can sell distressed or non-performing assets to an ARC. ARCIL then manages these assets through restructuring, settlements, recoveries, enforcement and other resolution mechanisms.

The company has also been increasing its focus on retail and SME stressed assets. According to CRISIL, retail and SME assets represented 53% of ARCIL's acquisitions in FY2026, compared with 19% in FY2020. Retail assets accounted for 24% of its portfolio at March 31, 2026.

This shift is important because India's retail and SME credit markets have expanded considerably, creating a larger pool of potential stressed assets.

ARCIL Assets Under Management

ARCIL reported outstanding security receipts of approximately ₹20,150 crore as of March 31, 2026, making it the largest private ARC in India by this measure.

Since inception, the company had issued security receipts worth approximately ₹44,114 crore and recorded cumulative recoveries of about ₹31,915 crore through March 2026.

Particular FY2026
Outstanding AUM / SRs ₹20,150 Cr
SRs Issued Since Inception ₹44,114 Cr
Cumulative Recoveries ₹31,915 Cr
FY2026 SR Issuance ₹5,959 Cr
Retail & SME Share of Acquisitions 53%

The scale of the company's existing portfolio is one of the key points supporting its position in the ARC industry.

Asset Reconstruction Company Financial Performance

ARCIL reported strong financial performance in FY2026.

According to CRISIL's June 2026 rating rationale, total income increased to ₹785 crore in FY2026 from ₹623 crore in FY2025. Profit after tax increased from ₹355 crore to ₹408 crore.

Financial Year Total Income PAT
FY2024 ₹574 Cr ₹305 Cr
FY2025 ₹623 Cr ₹355 Cr
FY2026 ₹785 Cr ₹408 Cr

The improvement in profitability demonstrates that ARCIL has been able to generate substantial earnings from its stressed-asset resolution and investment activities.

ARCIL Profitability and Capital Position

ARCIL's net worth increased from ₹2,768 crore in FY2025 to ₹3,079 crore in FY2026. Its gearing remained relatively conservative at around 0.4 times as of March 31, 2026.

The company generated an FY2026 return on net worth of approximately 13.9%, compared with 13.6% in FY2025.

Particular FY2025 FY2026
Net Worth ₹2,768 Cr ₹3,079 Cr
PAT ₹355 Cr ₹408 Cr
Gearing 0.1x 0.4x
Return on Net Worth 13.6% 13.9%

CRISIL has assigned ARCIL a 'CRISIL AA-/Stable' rating on its long-term bank facilities of ₹1,500 crore.

ARCIL IPO Valuation

At the upper price of ₹139, ARCIL's estimated market capitalization is around ₹4,516 crore.

Based on FY2026 financials, available IPO analysis puts the valuation at roughly 11–13 times FY2026 earnings, depending on the methodology and financial figures used.

Particular Approx. Value
Upper IPO Price ₹139
Estimated Market Cap ₹4,516 Cr
FY2026 PAT ₹408 Cr
FY2026 P/E ~11x
Price to Book ~1.5x
Debt / Equity ~0.4x
FY2026 ROE ~14%

The valuation appears more moderate when compared with many high-growth financial companies, although ARCIL's earnings profile is different because profits depend heavily on asset recoveries, investment income and fair-value movements.

ARCIL IPO Offer for Sale Explained

One of the most important points about the IPO is that ARCIL is not raising fresh capital.

The entire ₹732.97 crore issue is an OFS in which existing shareholders are selling their shares. Avenue India Resurgence, State Bank of India, Lathe Investment and Federal Bank are among the selling shareholders.

Therefore, the IPO proceeds will go to the selling shareholders rather than being available for ARCIL's future business expansion.

This is different from a fresh-issue IPO where the company receives new funds for debt repayment, capital expenditure or working capital.

ARCIL IPO Anchor Investors

ARCIL attracted institutional investors before the public issue opened.

The company raised approximately ₹219.89 crore from anchor investors by allotting around 1.58 crore shares at ₹139 per share, the upper end of the IPO price band.

The anchor book included well-known institutional names such as Goldman Sachs, Bank of America and Tata Mutual Fund.

Strong participation from institutional investors provides some indication of interest in the company's business and valuation, although it does not guarantee post-listing performance.

ARCIL Growth Opportunity

The stressed-asset market remains an important opportunity for asset reconstruction companies.

ARCIL has been expanding beyond traditional corporate NPAs into retail and SME assets. The company's management has also highlighted opportunities from the expected implementation of the Expected Credit Loss (ECL) framework.

Under ECL-based recognition, lenders may recognise credit stress earlier, potentially creating additional opportunities for ARCs to acquire and manage stressed accounts. ARCIL is also exploring collection services for early-stage stressed assets.

The company's retail portfolio has grown strongly, while its established recovery infrastructure could help it handle a wider range of stressed loans.

Asset Reconstruction Company IPO Strengths

Established market position: ARCIL is India's first ARC and has operated in the asset-reconstruction industry for more than two decades.

Large asset base: Outstanding security receipts stood at around ₹20,150 crore at March 2026.

Strong profitability: FY2026 PAT was approximately ₹408 crore.

Healthy capitalisation: Net worth increased to ₹3,079 crore, with gearing remaining relatively conservative.

Diversification: The company operates across corporate, SME and retail stressed assets.

Strong recovery infrastructure: ARCIL has a nationwide network of offices, collection agents and legal professionals.

Institutional backing: The company has shareholders including Avenue Capital and SBI, while the anchor book attracted major institutional investors.

Asset Reconstruction Company IPO Risks

Despite the strong financial profile, ARCIL has several risks that investors should consider.

Earnings volatility: ARC businesses depend on the timing and success of distressed-asset recoveries. Income can fluctuate between periods.

Recovery uncertainty: The value of acquired stressed assets depends on successful resolution and recovery.

OFS structure: The company does not receive IPO proceeds because the entire issue is an offer for sale.

Debt and leverage: Although current gearing is moderate, increased borrowing to finance acquisitions could affect profitability.

Regulatory changes: ARC operations are highly regulated and changes in RBI or other financial-sector regulations can affect the business.

Slower acquisitions: CRISIL has highlighted the possibility of growth challenges if stressed-asset acquisitions slow or redemptions increase.

Fair-value impact: A portion of earnings comes from fair-value changes and investment-related income, which can introduce volatility.

Asset Reconstruction Company IPO Review

ARCIL presents a different proposition from many consumer-tech, manufacturing or traditional financial-services IPOs. The company is already profitable, has a substantial stressed-asset portfolio and has operated in the Indian ARC industry for more than 20 years.

Its FY2026 performance was strong, with ₹785 crore of total income and ₹408 crore of PAT. The company also maintains a relatively conservative capital structure and has built a sizeable recovery platform.

The main point investors need to understand is the 100% OFS structure. Since no fresh shares are being issued, ARCIL itself will not receive the ₹733 crore raised through the IPO.

The current GMP of around ₹15 indicates a positive but relatively moderate listing expectation compared with some other September IPOs. Investors should not rely solely on GMP, particularly for a business where earnings can be influenced by recoveries and fair-value changes.

What Investors Should Watch After Listing

For long-term investors, the following indicators may be more important than the initial listing gain:

  • Growth in assets under management.
  • New stressed-asset acquisitions.
  • Recovery and redemption rates.
  • Retail and SME portfolio growth.
  • Fee income.
  • Investment income.
  • Fair-value gains or losses.
  • Net profit and ROE.
  • Gearing levels.
  • Regulatory changes affecting ARCs.
  • Growth in collection and resolution services.

These metrics can provide a clearer picture of ARCIL's underlying business performance after listing.

Conclusion

Asset Reconstruction Company (India) IPO is a ₹732.97 crore mainboard issue from one of India's oldest and largest private asset reconstruction businesses.

ARCIL's strong FY2026 profitability, ₹20,150 crore AUM, established recovery infrastructure and growing focus on retail and SME stressed assets are among its key positives. The company's net worth has also increased while gearing remains relatively controlled.

However, investors should remember that this is a complete OFS IPO, so the company will not receive the IPO proceeds. The business is also exposed to the inherent uncertainty of stressed-asset recoveries, regulatory changes and fluctuations in investment and fair-value income.

With the IPO closing today, September 11, 2026, investors should consider the final subscription figures, valuation, business fundamentals and risk profile rather than using GMP alone to make an IPO decision.
